These Terms of Service govern your use of the ZTUDIO website and services. Please read these terms carefully before using our services. By accessing or using our services, you agree to be bound by these terms and all applicable laws and regulations.
1. Acceptance of Terms
By accessing and using the ZTUDIO website and services, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use our services.
We reserve the right to modify these terms at any time. Your continued use of the services following any changes constitutes your acceptance of the new terms.
2. Description of Services
ZTUDIO provides AI-powered digital agency services, including but not limited to: artificial intelligence development, strategic intelligence consulting, creative technology solutions, and digital transformation services.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our services.
3. User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
You agree not to use our services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our systems or interfere with any other party's use of our services.
You must not attempt to gain unauthorized access to any portion of our services, systems, or networks connected to our services through hacking, password mining, or any other means.
4. Intellectual Property Rights
All content on the ZTUDIO website, including text, graphics, logos, images, software, and other materials, is the property of ZTUDIO or its content suppliers and is protected by international copyright laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any of our content without our express written permission.
For work created under client contracts, intellectual property rights will be defined in the specific project agreement and may differ from these general terms.
5. Client Projects and Deliverables
Specific terms regarding project scope, deliverables, timelines, and payment will be outlined in individual project agreements or statements of work.
Client approval and feedback are required at designated project milestones. Delays in client feedback may result in adjusted project timelines.
Final deliverables will be provided in formats agreed upon in the project contract. Source files and working files may be provided based on the terms of the specific agreement.
6. Payment Terms
Payment terms for services will be specified in individual project agreements. Unless otherwise stated, invoices are due within 30 days of issuance.
Late payments may be subject to interest charges and may result in suspension of services. All fees are non-refundable unless otherwise specified in the project agreement.
You are responsible for all taxes associated with the services provided, except for taxes based on our net income.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship.
This obligation of confidentiality will survive the termination of any agreement and will continue for a period of three (3) years from the date of disclosure.
Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without confidentiality restrictions.
8. Warranties and Disclaimers
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However, we do not guarantee specific results or outcomes from our services.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that our services will be uninterrupted, error-free, or completely secure. You acknowledge that you use our services at your own risk.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZTUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
Our total liability to you for all claims arising from or related to our services shall not exceed the amount you paid us for services during the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless ZTUDIO, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your violation of these Terms of Service or your use of our services.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
11. Termination
Either party may terminate ongoing services with written notice as specified in the project agreement. Upon termination, you will pay for all services rendered up to the termination date.
We reserve the right to suspend or terminate your access to our services immediately, without notice, if you violate these Terms of Service or engage in fraudulent or illegal activities.
Provisions regarding confidentiality, intellectual property, limitation of liability, and indemnification shall survive any termination of services.
12. Dispute Resolution
Any dispute arising from these Terms of Service or our services shall first be attempted to be resolved through good faith negotiation between the parties.
If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in San Francisco, California.
You agree to waive any right to a jury trial and to participate in class action lawsuits against ZTUDIO.
13. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any legal action or proceeding arising under these terms shall be brought exclusively in the federal or state courts located in San Francisco, California.
14. Miscellaneous
These Terms of Service constitute the entire agreement between you and ZTUDIO regarding the use of our services, superseding any prior agreements.
If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms remain in full force and effect.
Our failure to enforce any right or provision of these terms shall not be deemed a waiver of such right or provision.
You may not assign or transfer these terms or your rights hereunder without our prior written consent. We may assign these terms without restriction.
